This Referral Rewards Program Legal Agreement (“Agreement”) is entered into by and between you (“Participant” or “you”) and Omella Inc. (“Omella” or “Company”), collectively referred to as the “Parties.” By participating in the Omella Referral Rewards Program (“Program”), you agree to be bound by the terms and conditions set forth in this Agreement.

Eligibility

To be eligible for the Program, the Participant must:

• Be a legal resident of the United States;
• Be at least 18 years of age or older;
• Agree to the terms and conditions of this Agreement;
• Have an active Omella account in good standing; and
• Not be an employee, agent, representative, or immediate family member of an employee of Omella.
  

The referred organization must collect at least $1,000 in its Omella account within 30 days of signing up for Omella.

The individual submitting a referral on behalf of a Referred Organization represents and warrants that they are authorized to act on behalf of that organization.

Referrals and Rewards

a. As a Participant, you may refer eligible organizations (“Referred Organizations”) to Omella through your unique referral link or code provided by the Company.

b. For each successful referral, the Participant and the Referred Organization will each receive a reward, as determined by Omella (“Referral Reward”).

c. A successful referral is considered complete only when the Referred Organization:

i. Creates a new Omella organization account using the Participant’s unique referral link or code; and

ii. Independently satisfies all eligibility requirements under this Agreement, including the $1,000 collection requirement.

An organization may only be referred once under this Program. If an individual creates an Omella account and subsequently joins or is associated with an existing organization already using Omella, such action does not constitute a new Referred Organization and does not qualify as a successful referral, regardless of the individual’s role, timing, or activity.

Reward Details and Conditions

• The Referral Reward consists of one free Omella-compatible credit card reader for the Participant and one free Omella-compatible credit card reader for the Referred Organization.
• Credit card readers are typically shipped within 30 days after a referral is deemed successful.
• Omella reserves the right to determine the make, model, and specifications of the credit card reader and may substitute a comparable item of equal or greater value if the stated reward is unavailable.
• Referral Rewards are subject to availability while supplies last.
• Referral Rewards are non-transferable, non-exchangeable, and may not be redeemed for cash or any other form of compensation.
• Omella reserves the right to withhold, deduct, or revoke any Referral Reward if it determines, in its sole discretion, that the Participant or Referred Organization has violated this Agreement or engaged in fraudulent, abusive, or improper activity related to the Program.
• You may not refer Omella’s existing or prior customers. You acknowledge and agree that you waive any right to challenge Omella’s determination of referral eligibility or reward qualification.

Shipping and Risk of Loss

Credit card readers will be shipped to the mailing address provided by the Participant or Referred Organization. Omella is not responsible for shipping delays, loss, or damage occurring after shipment. Risk of loss transfers to the recipient upon shipment.

Authorizations

By participating in the Program, the Participant grants Omella the right to:

• Verify the Participant’s and Referred Organization’s eligibility; and
• Share the Participant’s and Referred Organization’s information with third parties as reasonably necessary to administer and operate the Program, including fulfillment and shipping of rewards.

If you wish to revoke your authorization for information sharing, you may do so at any time by emailing contact@omella.com. Requests will be processed within a reasonable time. Revoking authorization will result in forfeiture of any pending Referral Rewards, and Omella may be required to delete referral-related records to comply with your request. Modifications; Termination; Release

• Omella reserves the right to modify, suspend, or terminate the Program, or any part of it, at any time and for any reason, with or without prior notice.
• You release Omella from any and all liability arising from your participation in the Program, including third-party claims.
• Omella may condition, restrict, or limit the availability of Referral Rewards in its sole discretion. Any delay in enforcement of Omella’s rights does not constitute a waiver of those rights.

Taxes

Referral Rewards may be considered taxable income depending on applicable law and the value of the reward. Omella may be required to issue and file appropriate tax documentation in accordance with applicable law. You are solely responsible for any tax obligations arising from your participation in the Program and should consult your tax advisor with any related questions.

Governing Law

This Agreement is governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

‍

Miscellaneous

In the event of any conflict between this Agreement and any promotional, marketing, or informational materials, this Agreement controls.
